Plain-language terms for audits, builds, and savings split agreements.
The parties
Anvilshare is a brand of Groundlayer LLC, a Missouri limited liability company ("Groundlayer," "we," "us"). When you engage Anvilshare for an audit, build, or savings split agreement, Groundlayer LLC is the contracting party.
Website use
This website is provided for informational purposes. You may browse it freely. We make no guarantees about uptime or availability. The content describes Anvilshare's services and pricing as of the date published. Actual engagement terms are defined in the service agreement signed before work begins.
Terms of service are usually written to make a page sound bigger than it is. Ours are mostly a description of what the contract says in plainer English, so you don't have to guess later.
The audit
The audit costs $500, paid before work begins. We deliver a written report within the timeframe agreed at the start of the engagement (typically two business days after the initial call). You own the report. You may share it, use it to negotiate with other vendors, or discard it. The audit fee is non-refundable once work has started.
The build
Build engagements are scoped and quoted after the audit. A separate service agreement covers each build, specifying scope of work, timeline, milestone payments, and acceptance criteria. Code produced during the build is owned by you. We retain the right to reuse general-purpose patterns and libraries (not your business data or custom logic) in future engagements.
The savings split
If you choose the savings split model, we receive 50% of verified monthly savings for 36 months. "Verified savings" means the documented difference between your old software cost and your new operating cost (hosting, maintenance). Verification is based on your final invoice from the old vendor and the actual monthly cost of running the replacement.
You may end the savings split at any time. If you stop paying, we stop receiving our share. The software keeps running. There is no penalty, clawback, or termination fee.
Code ownership
You own the code we build for you. It runs on hardware you control. You can modify it, hire someone else to maintain it, or stop using it. We do not retain any proprietary claim on your custom code or your business data.
Data handling
We do not access, store, or process your customer data during audits. During build engagements, we may have temporary access to your server for deployment purposes. That access is revocable by you at any time. See the privacy policy for full details.
Liability
Our total liability for any claim related to a service engagement is limited to the fees you paid for that engagement. We are not liable for indirect, incidental, or consequential damages. We carry professional liability insurance appropriate for our services.
Governing law
These terms are governed by the laws of the state of Missouri. Any dispute arising from these terms or from an Anvilshare engagement will be resolved in the courts of Jackson County, Missouri.
Changes
We may update these terms. Changes take effect when posted. Existing service agreements are not affected by changes to these website terms.
